Terms of Service

This is placeholder wording pending legal review — it will be refined before final publication.
Welcome to the EshipX Marketplace, operated by LaunchX LLC, a Delaware limited liability company. By accessing or using EshipX — as a Seller, Buyer, or visitor — you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Marketplace.
Our Payment & Refund Policy and Fees & Pricing pages summarize parts of these Terms in plain language. If those pages ever conflict with these Terms, these Terms control.
1. About the EshipX Marketplace
The EshipX Marketplace (“EshipX,” “Marketplace,” or “Platform”) is operated by LaunchX LLC (“LaunchX,” “we,” “us”), a Delaware limited liability company. EshipX enables young entrepreneurs (“Sellers”) to list and sell products and digital goods to buyers (“Buyers”). LaunchX acts as a marketplace facilitator: we provide the platform and process payments, but we do not manufacture, inspect, warehouse, or guarantee any products listed by Sellers.
LaunchX is not a party to any transaction between Buyers and Sellers. Each sale is a direct transaction between the Buyer and the Seller. LaunchX's role is to facilitate the transaction, collect payment, and disburse proceeds to Sellers per these Terms.
2. Eligibility and Accounts
Buyers and purchases by minors
To create a Buyer account, you must be at least 14 years old. Users under 14 may not create accounts. Users under 18 may only create an account and make purchases with the knowledge and consent of a parent or legal guardian. By completing a purchase, users under 18 represent that their parent or legal guardian has authorized the purchase and the use of any payment method associated with the transaction.
Sellers
To register as a Seller, you must be at least 14 years old. Sellers under 18 must complete the Parental Consent process described in Section 7 before listing any products. Sellers must be human individuals; companies and automated accounts are not permitted at this time.
Your account
You agree to provide accurate, current, and complete information, and you are responsible for all activity under your account. Each person may hold one Seller account and one Buyer account; creating multiple accounts to circumvent a suspension is prohibited. You may close your account at any time by contacting hello@eshipx.com — closing a Seller account does not cancel orders already placed, and held funds are handled per Section 8.
3. Fees and Payments
LaunchX charges Sellers a platform fee on completed transactions. The current fee rate, free launch period, and seller plan options are published on our Fees & Pricing page and agreed to at onboarding. The fee is deducted automatically from each sale before payout, and the fee structure may be updated with 30 days' notice to active Sellers.
All payments are processed by Stripe, Inc. By making a purchase, Buyers agree to Stripe's Terms of Service (stripe.com/legal). LaunchX uses Stripe Connect for Seller payouts; by becoming a Seller you agree to Stripe's Connected Account Agreement (stripe.com/connect-account/legal). All transactions are in U.S. Dollars.
LaunchX is a marketplace facilitator and may be required to collect and remit sales tax; where required, tax is added to the Buyer's total at checkout. LaunchX (or Stripe on our behalf) issues IRS Form 1099-K to Sellers who meet the applicable threshold; Sellers are solely responsible for their own tax obligations. For Minor Sellers, the 1099-K is issued in the name of the parent or guardian who controls the payout account.
Sellers must have a completed Stripe account with a verified bank account (or, for Minor Sellers, a guardian-held account) to receive payouts. Payouts may be held pending resolution of disputes or chargebacks.
LaunchX Flagship payment links
Sellers enrolled in the LaunchX Flagship program may generate LaunchX-hosted payment links to sell on their own websites while LaunchX remains the merchant of record. Payments made through these links are collected by LaunchX (through Stripe) into a LaunchX-controlled account and held for the Seller, tied to their EshipX account for reporting. No platform fee is charged while the Seller is within their fee-free founding period. The release or forfeiture of these held funds is governed by Section 8, and Buyer refund and dispute rights apply the entire time funds are held.
4. Products and Listings
Sellers may list physical products (shipped to Buyers) and digital products (files delivered electronically). Services are not permitted at this time.
Prohibited items
- Counterfeit, replica, or unauthorized reproductions of branded goods; stolen or fraudulently obtained goods
- Products that infringe trademarks, patents, or copyrights — fan art, fan merchandise, and derivative works based on any third-party IP are prohibited outright; “inspired by” or “unofficial” labeling does not make unlicensed IP use permissible
- Illegal items under U.S. federal law; weapons, ammunition, or dangerous materials; hazardous materials
- Adult or sexually explicit content; tobacco, alcohol, cannabis, controlled substances, or drug-related products
- Medical claims not approved by the FDA; financial or investment products
- Products that specifically target users under 13
- Anything that is not the Seller's own creation or that the Seller lacks legitimate rights to sell
This list is not exhaustive; LaunchX may remove any listing that, in our sole judgment, is inappropriate for the Marketplace.
Listing review and accuracy
New listings are reviewed before appearing on the site (target: within 48 hours, non-binding). Edits to approved listings go live immediately and are flagged for review within 72 hours; violating edits may be reverted or removed. Titles, descriptions, images, and pricing must accurately represent the item. Pre-sales must be clearly labeled with an estimated fulfillment date.
5. Buyer Terms
When a Buyer completes checkout, they enter into a purchase contract with the Seller for the listed item at the listed price. Order confirmation emails confirm payment only — not shipment. Sellers are responsible for packing and shipping physical items within their stated handling time; LaunchX is not responsible for packages once handed to the carrier, but the protections below still apply.
Returns, refunds, and platform override protections
Each store selects one return/refund policy tier (such as All Sales Final, Exchange Only, Store Credit, or 30-Day Returns), displayed before purchase. Regardless of the store's tier, the following always apply:
| Situation | Resolution |
|---|---|
| Item significantly not as described | Full refund; seller pays return shipping (or no return required for low-value items) |
| Item arrived damaged | Full refund; no return required |
| Item never arrived (domestic) | Full refund after 21 days from ship date with no tracking update |
| Item never arrived (international) | Full refund after 45 days from ship date with no tracking update |
| Seller never fulfilled the order | Full refund immediately |
| Pre-sale cancelled by seller | Full refund within 24 hours |
If your order qualifies for a refund, you are entitled to a full refund. You may instead choose to (a) receive a refund minus the LaunchX operational fee, or (b) donate the full amount to support young entrepreneurs — both options contribute to the LaunchX fund described in Section 8.
Digital product access
Digital purchases grant a non-exclusive, personal license and remain available for re-download indefinitely, even if the seller closes their store. Each download link is valid for 72 hours and you may generate a new one at any time. Digital products are not refundable once downloaded; a refund may be requested within 24 hours of purchase if the file has not been downloaded. Defective or materially misdescribed files are fully refundable regardless of download status.
6. Seller Terms
Sellers are solely responsible for: accurate listings; fulfilling orders within their stated handling time (maximum 7 business days unless pre-sale); providing tracking for physical orders over $25; responding to Buyer messages within 48 hours; issuing a full refund within 24 hours of determining an order cannot be fulfilled; and complying with all applicable laws and taxes.
Intellectual property warranty
By listing products, you represent and warrant that: (a) you are the original creator of, or hold all necessary rights and licenses to sell, every product you list; (b) your products and content do not infringe any third party's IP or proprietary rights; (c) your products are not counterfeit or unauthorized reproductions; (d) you have not used any third-party IP — including characters, logos, names, or imagery from films, TV, games, sports teams, musicians, or brands — without documented written authorization; and (e) you will promptly notify LaunchX of any infringement claim relating to your content. Breach of this warranty may result in immediate listing removal, account suspension, and liability to LaunchX for resulting claims, losses, or legal fees.
Staying on-platform
Any transaction initiated through an EshipX connection must be completed through the Platform. Sellers may not direct Buyers to Venmo, Cash App, direct PayPal, or any off-platform payment method.
Buyer data and conduct
Sellers may not use Buyer information beyond order fulfillment, add Buyers to mailing lists without opt-in, or share Buyer data with third parties. Sellers may not manipulate ratings or reviews or use the Marketplace for any illegal financial activity. By listing a product, Sellers grant LaunchX a non-exclusive, royalty-free, worldwide license to display product content for operating and promoting the Marketplace.
7. Minor Sellers and Parental Consent
Sellers aged 14–17 (“Minor Sellers”) must have a parent or legal guardian complete the Parental Consent process before products go live. The guardian confirms their relationship, accepts these Terms on the minor's behalf, agrees to be the payout account holder, and agrees to be notified of sales activity.
Because Stripe requires account holders to be 18 or older, all Minor Seller payouts are made to an account in the guardian's name under the guardian's tax identification number. The guardian is solely responsible for disbursing funds to the Minor Seller.
Parental consent expires after 12 months and must be renewed (reminders are sent before expiry); unrenewed consent pauses the Minor Seller's listings. At 18, a Seller may contact hello@eshipx.com to transition to their own Stripe account with new identity verification.
8. Held Funds, Unclaimed Proceeds, and the LaunchX Fund
This section is draft policy pending legal review of unclaimed-property (escheatment) law. See our Payment & Refund Policy page for a plain-language summary with diagrams.
If a Seller has not connected an active payout method at the time of a sale, LaunchX holds the Seller's proceeds in a platform holding account until payout setup is complete. Buyers retain all refund and dispute rights on the underlying order the entire time funds are held.
- Active store, no payout method: if 90 days after the sale the Seller still has no payout method and the Buyer has not opened a refund or dispute, the proceeds are treated as unclaimed and directed to the LaunchX fund that supports young entrepreneurs. Reminder emails are sent at day 30 and day 75.
- Store closure: when a Seller closes their store, held proceeds not tied to an order still within an open refund or dispute window are directed to the LaunchX fund 1 week after closure. Orders still inside their window remain protected until it closes.
- Suspension: if an account is permanently banned or suspended for a policy violation, unclaimed balance not tied to an open refund or dispute is directed to the LaunchX fund 60 days after the suspension takes effect.
- Unreachable seller: if all email contact is undeliverable and no payout method is connected, the standard 90-day window applies.
- LaunchX Flagship payment links: proceeds collected through a Flagship payment link (Section 3) are held for the Seller while they participate in the program. If the Seller completes or leaves the program without establishing an eligible business and payout method, the held proceeds — to the extent not refunded to Buyers — are directed to the LaunchX fund. A Seller who later establishes an eligible business may request release of their held funds, paid out subject to the standard platform fee (waived during the fee-free founding period).
No conversion applies to funds subject to an open dispute, an active chargeback, or a legal hold — those remain held until resolved.
9. Disputes, Refunds, and Chargebacks
Buyers first contact the Seller through platform messaging (Seller has 48 hours to respond). If unresolved, the Buyer opens a formal dispute with supporting evidence; LaunchX reviews within 5–7 business days and issues a final, binding ruling. Sellers may appeal a ruling once, in writing, within 7 days. Fraudulent dispute filings may result in suspension.
LaunchX may issue full or partial refunds where a platform override protection applies, the Seller failed to fulfill on time, or the Seller is unresponsive. Refunds issued after a payout are deducted from the Seller's next payout, or recovered directly if none is pending.
If a chargeback is resolved in the cardholder's favor after a Seller payout has been disbursed, the Seller is responsible for repaying LaunchX the full chargeback amount, including any Stripe chargeback fees.
10. Reviews and Ratings
Only verified purchasers may leave reviews. Reviews must be honest and may not contain defamatory statements, personal attacks, profanity, or private information. Sellers may post one professional public response per review. Fake reviews, manipulation, or coordinated purchasing to inflate ratings are prohibited. LaunchX may remove reviews that violate these Terms.
11. Intellectual Property and DMCA
All EshipX and LaunchX branding, interface design, and original content is the intellectual property of LaunchX LLC.
LaunchX responds to valid DMCA takedown notices. Email hello@eshipx.com with your contact information, identification of the copyrighted work and the infringing material's URL, a good-faith statement, and your signature. Valid notices result in removal within 1 business day with counter-notice rights explained to the Seller. Repeat infringers: first valid takedown brings removal and a written warning; a second brings suspension pending review; clearly willful infringement may result in immediate suspension.
12. Geographic Restrictions and OFAC Compliance
The Marketplace is not available to users located in, or nationals or residents of, jurisdictions subject to comprehensive OFAC sanctions (currently including Cuba, Iran, North Korea, Syria, Russia, Belarus, and the Crimea region of Ukraine). Sellers are screened against the OFAC SDN list before account approval and before payouts. By registering, you represent that you are not located in a restricted jurisdiction, listed on the SDN List, or owned or controlled by anyone who is.
13. Disclaimers and Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: THE MARKETPLACE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. LAUNCHX IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. LAUNCHX'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES PAID BY OR COLLECTED FROM YOU IN THE PRECEDING 12 MONTHS, OR (B) ONE HUNDRED DOLLARS ($100). LAUNCHX IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, LEGALITY, OR FITNESS FOR PURPOSE OF ANY PRODUCT LISTED BY A SELLER.
14. Indemnification
You agree to indemnify, defend, and hold harmless LaunchX LLC and its officers, directors, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Marketplace, your violation of these Terms, any product you list or sell, or your violation of any applicable law.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware. Before initiating any formal proceeding, you agree to contact us at hello@eshipx.com and attempt informal resolution for at least 30 days.
Arbitration
Draft clause — under internal and attorney review, particularly regarding enforceability for minors.
Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, remotely or in the county where you reside. Either party may instead bring an individual claim in small claims court, or seek injunctive relief in court for IP infringement. You may opt out of arbitration by emailing hello@eshipx.com within 30 days of first accepting these Terms with the subject “Arbitration Opt-Out.” All disputes must be brought individually — not as a plaintiff or class member in any class, collective, or representative proceeding. For Minor Sellers, these Terms including this provision are accepted on their behalf by a parent or legal guardian. For claims not subject to arbitration, exclusive venue is the state and federal courts of Delaware.
16. General Provisions
These Terms, together with the Privacy Policy, are the entire agreement between you and LaunchX regarding the Marketplace. We may update these Terms and will notify you of material changes by email or prominent notice; continued use constitutes acceptance. If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision does not waive it. You may not assign your rights under these Terms; LaunchX may assign its rights in connection with a merger, acquisition, or asset sale.
